These Terms of Service ("Terms") govern your access to and use of Ascend AI ("Ascend AI", "Platform", "we", "us", or "our"), a software product operated by HEALTHN.E.S.S. By creating an account or using the Platform, you agree to be bound by these Terms.

Ascend AI is a business automation platform designed for commercial use. You may use the Platform only for lawful business purposes in accordance with these Terms. You must be at least 18 years of age and have the authority to bind your organization to these Terms.
The individual or organization that creates a workspace ("Workspace Administrator") is solely responsible for:
Workspaces may include Supervisor and Operator user roles. Supervisors and Operators are authorized users acting on behalf of the Workspace Administrator. The Workspace Administrator accepts full responsibility for the actions, configurations, and integrations carried out by Supervisor and Operator accounts within their workspace.
Ascend AI is offered on a subscription basis unless otherwise stated at checkout. Paid plans, trials, and add-ons are described at signup or in your workspace billing settings. By subscribing, you authorize recurring charges through Stripe for the plan you select.
Minute counts and subscription status are displayed in your workspace dashboard. If minutes are exhausted, voice features may be limited until additional minutes are purchased or your next renewal occurs.
Subscriptions are billed in advance on a recurring basis (typically monthly) through Stripe. The following billing policies apply:
Ascend AI provides AI-assisted features including email drafts, voice receptionist handling, business intelligence insights, recommendations, forecasts, and operational alerts. These features are productivity tools only. You remain responsible for reviewing, approving, and using AI outputs appropriately. AI-assisted services do not replace professional judgment and may be unavailable, delayed, or limited by third-party providers, quotas, or your subscription entitlements.
You agree not to use Ascend AI to:
AI-generated content on the Ascend AI platform — including email drafts, call summaries, and business intelligence insights — is provided as a productivity aid and may not be accurate, complete, or appropriate for all situations. You are solely responsible for reviewing, approving, and taking responsibility for any AI-generated content before acting on it or sending it externally. AI outputs should not be relied upon as professional, legal, medical, or financial advice.
Business Intelligence insights — including Revenue Intelligence, Revenue Forecasting, Objection Intelligence, Content Outcome Tracking, Owner Alignment reports, Google Review Intelligence, Customer Loss Intelligence, Competitor Intelligence, and Opportunity Alerts — are operational guidance derived from your workspace data. They are not financial projections, professional recommendations, or guaranteed forecasts.
Revenue Forecasting uses pipeline stage, contact activity, and deal value data to produce projected monthly revenue estimates. These are operational projections only and do not constitute financial advice, audited forecasts, or guaranteed outcomes. Customer Loss Intelligence identifies patterns suggesting why prospects may not have converted; these are AI-derived signals for awareness only and are not verified customer research. Competitor Intelligence analyzes publicly accessible competitor web pages to surface positioning themes; outputs are operational summaries only, and workspace administrators are responsible for the URLs they configure. Closed revenue values are user-entered business records and do not represent audited financial data or committed revenue. Opportunity Alerts are AI-derived operational recommendations and do not constitute financial or professional advice.
Ascend AI integrates with third-party services including Gmail (Google), Google Calendar, Google Business Profile / Reviews, Google Search Console, Google Analytics 4 (GA4), YouTube Analytics, Twilio, and OpenAI. Google Calendar, Gmail, Google Business Profile / Reviews, Search Console, GA4, and YouTube are optional third-party integrations — you choose whether to connect them. The availability, functionality, and performance of these integrations depend on the respective third-party providers. We are not responsible for downtime, changes, API quota limits, policy updates, or discontinuation of third-party services. Connecting these integrations is subject to the respective providers' terms of service and privacy policies.
When the Google Business Profile integration is enabled, Ascend AI imports your business location(s) and publicly associated review data (reviewer display names, ratings, review text, dates, and reply status) through the Google Business Profile API. This data is used solely to power the Google Review Intelligence feature within your workspace. Availability of this integration depends on your Google Business Profile account status, verification, and Google API policies.
Workspace administrators may add publicly accessible URLs as Business Audit Sources. sources. By adding a URL, the workspace administrator represents that they have the right to fetch and analyze content from that page and that it is publicly accessible. Workspace administrators are solely responsible for the accuracy, permissions, and appropriateness of URLs they configure. Ascend AI is not responsible for content found at third-party URLs.
Ascend AI and all platform components, brand assets, and proprietary technology are the intellectual property of HEALTHN.E.S.S. These Terms do not grant you any ownership rights in the Platform. You retain ownership of the business data and content you bring into your workspace.
To the maximum extent permitted by applicable law, HEALTHN.E.S.S. and its officers, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, data loss, or business interruption — arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you to Ascend AI in the three months immediately preceding the event giving rise to the claim.
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
We reserve the right to update these Terms at any time. Material changes will be communicated by email or in-product notice. Continued use of the Platform after the effective date of any change constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
